These Terms & Conditions (the "Agreement") outline the rights, responsibilities, and obligations that govern your use of BrixPOS and all of its associated products, modules, applications, support services, and future enhancements (collectively referred to as the "Services").

We encourage you to review this Agreement carefully.

By:

  • Creating a BrixPOS account
  • Accessing any module, application, or feature
  • Engaging with any service under the BrixPOS platform

you confirm your full understanding and acceptance of these Terms & Conditions, forming a binding legal agreement between your business and BrixBull AI Solution Center.

If you do not agree to the terms set forth, you must refrain from accessing or using any part of the BrixPOS platform or Services.

At BrixPOS, we are committed to your restaurant’s success — today, tomorrow, and in the years ahead.

1. Acceptance of Terms

By registering for and accessing BrixPOS, you expressly acknowledge and agree to the following:

  • Authorized Representation: You confirm that you are legally authorized to enter into agreements on behalf of the business entity you represent.

    This includes having the authority to bind your company, restaurant, or business operation to these Terms & Conditions and to act on its behalf for all matters related to your use of BrixPOS.

  • Compliance with Laws and Regulations: You agree that your use of BrixPOS will fully comply with all applicable local, national, and international laws, regulations, licenses, and business practices, including but not limited to data protection, taxation, employment laws, health and safety regulations, and e-commerce standards relevant to your business activities.

  • Binding Agreement: By proceeding with registration, you form a binding legal agreement with BrixBull AI Solution Center, agreeing to be governed by these Terms & Conditions, our Privacy Policy, and any additional service-specific policies introduced from time to time.
  • Non-Acceptance: If you do not agree with any part of these Terms & Conditions, or if you do not have the authority to act on behalf of your business, you must not proceed with the registration process and must refrain from accessing or using any part of the BrixPOS platform or associated services.

Your continued access or use of BrixPOS constitutes full acceptance of all terms, and your business will be held responsible for any actions taken within the system.

2. Scope of Services

BrixPOS is designed as an all-encompassing, cloud-based SaaS platform to simplify and digitize every major function of restaurant management. The services currently offered through BrixPOS include, but are not limited to:

  • Restaurant POS Management:

    Seamlessly manage all in-house and online ordering activities, billing, table management, KOT (Kitchen Order Ticket) routing to kitchen printers or displays, live order tracking, bill splitting, discounts, promotions, refunds, and real-time sales monitoring

  • Inventory & Supplier Management:

    Maintain accurate inventory control with stock-in, stock-out, wastage tracking, low-stock alerts, purchase order management, supplier integration, inventory valuation, and detailed cost control for all items across multiple kitchens or branches.

  • Employee HR & Payroll (BrixHR Module):

    Manage staff onboarding, maintain employee profiles, record attendance with geo-tagging, automate salary and allowance calculations, manage gratuities, process end-of-service benefits, and allow staff to self-manage through the Employee Self-Service (ESS) Mobile App.

  • Financial Management:

    Access real-time, AI-verified financial dashboards featuring detailed sales reporting, expense management, automated Profit & Loss generation, Balance Sheets, Trial Balances, Cash Flow Statements, VAT calculations, Corporate Tax reports, and financial performance insights — all aligned with UAE tax compliance standards.

  • AI-Powered Business Insights:

    Receive daily WhatsApp-based AI reports summarizing sales, expenses, variances, and operational warnings; predictive analytics for inventory and sales; employee performance reports; and intelligent alerts to identify trends and issues before they impact the business.

  • WhatsApp and Social Media Marketing (BrixSocial Module):

    Automate marketing campaigns through targeted WhatsApp broadcasts, Facebook, Instagram, TikTok, Google, and YouTube posts. Leverage AI to auto-generate promotional visuals, schedule campaigns, run loyalty programs, and track campaign ROI — all from within BrixPOS.

  • Task, Shift, and Recipe Management:

    Assign staff tasks with deadlines and priority levels; manage staff shift rotations and availability; and build dynamic recipe costings that link directly to inventory consumption, enhancing food cost control and kitchen efficiency.

  • Digital Document Storage:

    Securely upload, manage, and store critical business documents, such as contracts, supplier agreements, licenses, certifications, staff IDs, and compliance files, ensuring instant accessibility when needed.

  • Customer Management & CRM:

    Build rich customer profiles, create customer groups (e.g., VIP customers, frequent visitors, breakfast customers), track order history and spending behavior, manage loyalty point programs, and automate personalized offers and marketing messages.

3. Registration and Account Security

When you register to use BrixPOS, you agree to the following responsibilities regarding your account creation, management, and security:

  • Accurate Registration Information:

    You must provide true, accurate, current, and complete information during the registration process, including your business name, location, contact details, billing information, and authorized user details.

    Providing false or misleading information may result in suspension or termination of your access to BrixPOS.

  • Timely Updates to Information:

    You agree to promptly update your account information whenever there are changes to your business details, payment methods, authorized users, or any other critical information necessary for maintaining accurate records.

  • Credential Security:

    You are solely responsible for maintaining the confidentiality of your BrixPOS login credentials, including passwords, API keys (if applicable), or any other authentication tokens

    Sharing your credentials with unauthorized individuals is strictly prohibited.

  • Responsibility for Account Activities:

    All activities conducted under your account are deemed authorized by you. You accept full legal responsibility for any use, misuse, or unauthorized activity under your account, whether by your employees, contractors, or third parties

  • Notification of Unauthorized Access:

    In the event of a suspected security breach, unauthorized access, or misuse of your account, you must notify BrixPOS immediately through our support portal or assigned BriXpert.

    We will work with you to secure your account, but delays in notification may expose you to increased liability

Important: BrixPOS is intended strictly for legitimate business use by registered companies operating in the restaurant, food, and beverage industry.
The creation of personal, non-commercial, or fake accounts is prohibited and will be terminated immediately upon discovery

4. Subscription Fees, Billing, and Renewals

Your access to BrixPOS and its services is subject to the payment of applicable subscription fees based on your selected plan. The following conditions apply:

  • Subscription Plan:

    BrixPOS offers multiple subscription tiers — including BrixLite, BrixPro, BrixElite, and BrixCustom — tailored to different business sizes and operational needs.

    Your access rights, service limits, and feature availability are determined by your active subscription plan.

  • Billing Terms:

    All subscription fees are billed automatically at the start of each billing cycle, which may be monthly, quarterly, or annually, depending on your plan selection.

    Billing will occur through the payment method provided at registration unless updated by you.

  • Automatic Renewals:

    Your subscription will automatically renew at the end of each billing cycle for the same period unless you cancel the subscription in writing at least 15 days prior to the renewal date.

    Renewal charges will be applied to your registered payment method.

  • Late Payments and Suspension:

    Failure to settle invoices within 7 days of the due date may result in the suspension of your access to BrixPOS.

    Continued non-payment beyond 30 days may lead to permanent account deactivation and data deletion.

  • Price Adjustments:

    We reserve the right to revise pricing for any BrixPOS plan or service.

    Any price changes will be communicated to you via email or in-app notification at least 30 days before taking effect.

    If you disagree with a price adjustment, you may cancel your subscription before the effective date of the new pricing.

Important: All fees paid are non-refundable, except where required by applicable law or where explicitly stated otherwise in a separate service agreement.

5. Data Ownership and Usage

At BrixPOS, we recognize that your data is a vital business asset. We are committed to protecting your ownership rights and ensuring your data is used responsibly. Here's how we handle it:

  • Ownership of Data:

    You retain full, exclusive ownership of all operational data generated or stored within your BrixPOS account, including but not limited to:

    • Sales transactions
    • Purchase records
    • Expense entries
    • Inventory levels
    • Supplier information
    • Customer lists and CRM data
    • Employee profiles and HR records
  • Use of Data:

    We use your data solely for the following purposes:

    • Delivering and maintaining the BrixPOS services
    • Providing technical support
    • Improving system features and AI capabilities based on anonymized trends
    • Ensuring system security and regulatory compliance

    We do not use your data for unrelated business activities, and we do not sell or lease your data to third parties.

  • Data Backup Policy:

    BrixPOS maintains regular automated backups of all system data as part of our disaster recovery and security protocols.

    However, we strongly recommend that you export and maintain your own backups periodically, particularly before significant updates, upgrades, or subscription changes.

  • Data Security Standards:

    We implement multiple layers of security to protect your data, including:

    • End-to-end encryption
    • Secure server infrastructure
    • Multi-factor authentication (MFA) for administrative users
    • Strict access controls based on user roles
    • Routine security audits and vulnerability scans

    While we take extensive measures to safeguard your data, no online system can guarantee absolute security. You acknowledge and accept this inherent risk.

  • Third-Party Access and Legal Compliance:

    Your data will never be shared with third parties without your explicit consent, except:

    • When legally required by a governmental authority under due process
    • When necessary for enforcing these Terms (e.g., preventing fraud or abuse)
    • When integrating with third-party services or platforms only if authorized by you (e.g., connecting your POS data to external accounting software)

6. AI and Automation Features

BrixPOS incorporates cutting-edge Artificial Intelligence (AI) technologies across its modules to empower restaurant owners and managers with smart, data-driven insights and operational automation.

Our AI-based features include, but are not limited to:

  • Sales Trend Prediction:

    AI algorithms analyze your historical sales data, seasonal patterns, and customer behavior to predict future sales trends, enabling better resource planning, staffing, and stock management.

  • Inventory Forecasting:

    BrixPOS AI models assess inventory turnover rates, supplier lead times, and consumption patterns to recommend optimal reorder points, prevent stockouts, and minimize wastage.

  • Employee Performance Analytics:

    The system tracks key employee metrics — such as attendance, punctuality, upselling performance, table turnover rates, and service feedback — to provide objective performance evaluations and reward identification.

  • Automated Marketing Campaigns:

    Based on customer purchase history and preferences, BrixPOS AI recommends and can even automatically schedule targeted WhatsApp broadcasts, social media promotions, and loyalty program offers through BrixSocial.

  • AI-Generated Daily Reports via WhatsApp:

    After your business day closes, the BrixPOS system automatically generates a concise yet powerful report, summarizing your daily sales, expenses, variances, stock status, operational alerts, and sends it directly to your registered WhatsApp number.

Limitations of AI Usage:

  • AI-based insights, predictions, and automation are provided to assist and augment human decision-making but are not infallible guarantees.
  • All final operational and strategic business decisions made based on AI outputs remain entirely your responsibility.
  • BrixBull AI Solution Center disclaims any liability for losses or outcomes resulting from sole reliance on AI-generated insights without human verification.

We encourage users to treat AI recommendations as advisory tools — not as substitutes for professional judgment or human managerial oversight.

7. Acceptable Use Policy

You agree to use BrixPOS and all associated modules and services in a responsible, lawful, and ethical manner.

Specifically, you agree not to engage in any of the following prohibited activities:

  • Unauthorized Access or System Tampering:

    You may not attempt to gain unauthorized access to any systems, networks, accounts, or data that do not belong to you.

    Attempts to bypass security features, exploit vulnerabilities, or tamper with the system’s functionality are strictly forbidden.

  • Uploading Harmful Code:

    You are prohibited from uploading, transmitting, or otherwise introducing viruses, malware, ransomware, trojans, or any other malicious code intended to disrupt, damage, or interfere with the proper functioning of the BrixPOS platform or its users.

  • Violation of Applicable Laws:

    You may not use BrixPOS to engage in, promote, or facilitate activities that violate any local, national, or international laws, including but not limited to fraud, money laundering, intellectual property infringement, employment law violations, tax evasion, or data privacy breaches.

  • Infringement of Third-Party Rights:

    You agree not to use BrixPOS to infringe upon or misappropriate the intellectual property rights, proprietary rights, or privacy rights of any third party, including unauthorized use of copyrighted content, trademarks, trade secrets, or confidential information.

Consequences of Violation:

  • Misuse or violation of this Acceptable Use Policy may result in immediate suspension or termination of your BrixPOS account without refund.
  • Serious violations may also result in legal action being taken against you by BrixBull AI Solution Center or affected third parties.

We maintain a zero-tolerance policy toward any activity that compromises system integrity, customer trust, or business ethics.

8. Intellectual Property Rights

All rights, titles, and interests in and to BrixPOS and its associated materials are and shall remain the exclusive property of BrixBull AI Solution Center.

  • Ownership:

    BrixPOS, including but not limited to its software code, user interface design, dashboard layouts, mobile applications, data architecture, service models, logos, trademarks, marketing materials, and documentation, are protected under applicable intellectual property laws and remain the sole property of BrixBull AI Solution Center.

    Unauthorized use of our intellectual property is strictly prohibited.

  • Limited License to Use:

    Upon registration and subscription activation, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the BrixPOS platform solely for your internal restaurant or business operations.

    This license does not grant you ownership or any rights to the underlying technology, branding, or methodologies.

  • Usage Restrictions:

    You agree not to:

    • Copy, modify, reproduce, or create derivative works of any part of BrixPOS;
    • Resell, lease, license, sublicense, distribute, or commercially exploit BrixPOS or its features;
    • Reverse engineer, decompile, disassemble, or attempt to extract source code from BrixPOS;
    • Remove, obscure, or alter any proprietary notices or branding appearing within BrixPOS or its associated documentation.

Any violation of these intellectual property rights may result in immediate termination of your subscription, legal claims, and/or financial liability for damages.

9. Service Availability and Downtime

At BrixPOS, we recognize the critical importance of uninterrupted system availability to your daily operations. Accordingly, we are committed to maintaining a highly reliable and secure service environment.

  • Service Uptime Commitment:

    We strive to maintain 99.9% system uptime across all BrixPOS modules, mobile applications, and integrated services on an annualized basis. This uptime commitment includes both system access and data transaction capabilities.

  • Scheduled Maintenance:

    To ensure continued system performance, security enhancements, and new feature rollouts, occasional scheduled maintenance may be necessary. Wherever feasible, we schedule maintenance activities during off-peak hours to minimize disruption and will provide advance notice via email, platform notifications, or your assigned BriXpert.

  • Unplanned Downtime and Force Majeure Events:

    While we take comprehensive precautions, certain circumstances may be beyond our reasonable control, including but not limited to:

    • Internet service provider failures,
    • Cloud hosting service interruptions,
    • Cyberattacks,
    • Natural disasters (e.g., floods, earthquakes),
    • Government-imposed restrictions, or any other "force majeure" events.

    In such cases, BrixBull AI Solution Center will not be held liable for service disruptions, data loss, or any damages arising from such interruptions.

We commit to proactive communication, rapid response to service issues, and continuous improvement of infrastructure to minimize any downtime impact.

10. Termination and Data Retrieval

The relationship between you and BrixPOS is based on mutual respect, transparency, and flexibility. Either party may choose to terminate the service agreement under the following terms:

  • Termination by You (Voluntary Cancellation):

    You may cancel your subscription at any time by submitting a written cancellation request to our support team or your assigned BriXpert.

    Such notice must be provided at least 15 calendar days before the start of your next billing cycle to avoid charges for the subsequent period.

    Cancellations requested after the renewal deadline will take effect from the end of the next billing cycle.

  • Termination by Us (Involuntary Suspension or Termination):

    We reserve the right to suspend or terminate your access to BrixPOS immediately, without refund, if:

    • You fail to make timely payments for subscription fees,
    • You materially breach these Terms & Conditions,
    • You engage in unlawful, unethical, or fraudulent activities using the platform,
    • You jeopardize the security, integrity, or reputation of BrixPOS through misuse.

    In cases of minor non-compliance, we may issue a formal warning and allow reasonable time for corrective action before suspension.

  • Data Access Following Termination:

    Upon termination, you retain the right to request an export of your operational data (e.g., sales records, employee profiles, inventory data) from the BrixPOS system. Such a request must be made within 30 calendar days of the termination effective date.

    After this period, BrixPOS reserves the right to permanently delete your stored data in compliance with our Data Retention Policy.

Important: We strongly recommend exporting and backing up your data before initiating termination to ensure a seamless transition and avoid any unintended data loss.

11. Limitation of Liability

To the fullest extent permitted under applicable law, your use of BrixPOS is at your own risk, and our liability to you is limited as follows:

  • Exclusion of Indirect or Consequential Damages:

    BrixBull AI Solution Center, its affiliates, directors, employees, and service providers shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to:

    • Loss of profits,
    • Loss of goodwill,
    • Business interruption,
    • Loss of data or customer relationships, arising out of your access to, use of, or inability to use BrixPOS, even if we have been advised of the possibility of such damages.
  • Limitation of Direct Damages:

    In no event shall the total cumulative liability of BrixBull AI Solution Center — whether in contract, tort, negligence, strict liability, or otherwise — exceed the amount of subscription fees you have actually paid for the BrixPOS services in the six (6) months immediately preceding the event giving rise to the claim.

Important Clarification:

  • Some jurisdictions do not allow limitations on implied warranties or exclusion of liability for certain damages.
  • In such cases, some of the above limitations may not apply, but they will be enforced to the maximum extent permitted by applicable law.

This limitation of liability is fundamental to the relationship between you and BrixPOS and is reflected in our pricing and service commitments.

12. Indemnification

To protect the mutual interests of both parties, you agree to the following indemnification terms:

  • Your Agreement to Indemnify:

    You agree to fully indemnify, defend, and hold harmless BrixBull AI Solution Center, its directors, officers, employees, affiliates, agents, successors, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising from:

    • Your violation of any provision of these Terms & Conditions,
    • Your misuse or unauthorized use of the BrixPOS platform, modules, or services,
    • Your infringement of any intellectual property or other rights of any person or entity,
    • Any violation of applicable laws, regulations, or industry standards through your use of BrixPOS,
    • Disputes arising from your customers, employees, suppliers, or any third party relating to your business operations facilitated through BrixPOS.
  • Scope of Indemnity:

    This indemnification obligation survives the termination or expiration of your BrixPOS subscription and continues even after you cease using the platform.

  • Third-Party Claims:

    If any third-party claim is made against BrixBull AI Solution Center in connection with your activities, we reserve the right, at our own expense, to assume the exclusive defense and control of such matters. You agree to cooperate fully with any such defense.

This provision ensures that BrixPOS remains protected from risks or damages arising from improper, unlawful, or negligent use of the system by users.

13. Changes to the Terms

As part of our commitment to continuous innovation and regulatory compliance, BrixBull AI Solution Center may need to update or modify these Terms & Conditions from time to time.

  • Right to Revise Terms:

    We reserve the right, at our sole discretion, to modify, update, or revise these Terms & Conditions at any time to reflect changes in services, technology, operational practices, or legal requirements.

  • Notification of Changes:

    Whenever material changes are made, we will notify you by one or more of the following methods:

    • Posting an updated version of the Terms & Conditions on the BrixPOS website,
    • Sending a direct notification to your registered email address,
    • Issuing a notice within your BrixPOS dashboard or mobile app.
  • Effective Date of Changes:

    All changes will become effective immediately upon posting, unless stated otherwise in the communication.

Your continued access to and use of BrixPOS following the effective date of any modifications will constitute your binding acceptance of those changes.

Important Reminder: It is your responsibility to regularly review the Terms & Conditions to stay informed of any updates. If you do not agree to any revised terms, you must immediately discontinue use of BrixPOS before the updated terms take effect.

14. Governing Law and Dispute Resolution

The interpretation, construction, and enforcement of these Terms & Conditions shall be governed exclusively by the following:

  • Governing Law:

    These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE), without regard to its conflict of laws principles.

  • Jurisdiction and Venue:

    Any disputes, controversies, or claims arising out of or relating to these Terms, the BrixPOS platform, or your use of the services shall be subject to the exclusive jurisdiction of the courts located in Abu Dhabi, UAE.

  • Dispute Resolution Process:

    Prior to initiating formal legal proceedings, both parties agree to attempt in good faith to resolve any disputes through informal negotiations for at least 30 days.

  • Waiver of Class Actions:

    You agree that you may bring claims against BrixBull AI Solution Center only in your individual capacity and not as a plaintiff or class member in any class or representative action.

This clause ensures that legal matters are handled efficiently under UAE law and in a mutually recognized forum.

At BrixBull AI Solution Center, we are dedicated to providing exceptional customer support to ensure your BrixPOS experience is smooth, reliable, and continuously optimized for your business success.

    Access instant help via the live chat feature embedded directly within your BrixPOS dashboard or mobile app.

  • Dedicated BriXpert Assistance:

    Each customer is assigned a dedicated BriXpert who provides strategic support, training, and performance reviews. Your BriXpert will help you maximize your BrixPOS subscription.

Response Time Commitment: We aim to respond within 24 business hours (excluding public holidays and weekends). Urgent issues are prioritized.

Customer First Commitment:

We treat our customers as partners and continuously improve our services based on your feedback.

Final Acknowledgment

  • Agreement to be Legally Bound: You confirm that you have reviewed and accepted these Terms & Conditions.
  • Capacity and Authority: If registering on behalf of a company, you confirm that you have the authority to bind the business entity to these terms.

Important: If you do not agree with any part of the Terms & Conditions, or lack authority to accept on behalf of your business, you must not proceed.
